These Terms of Use (“Terms”) govern your access to and use of mentors.fund and any related content, features, and services (collectively, the “Site”), operated by Mentors Fund (“Mentors Fund,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.
2. No offer of securities; no investment relationship
The Site is provided for general informational purposes only. Nothing on the Site constitutes, or is intended to constitute, an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or other financial instrument, nor shall there be any sale of securities in any jurisdiction in which such offer, solicitation, or sale would be unlawful.
- Any offer or sale of interests in a fund or investment vehicle managed by or affiliated with Mentors Fund will be made only to eligible investors through definitive confidential offering documents, and only in accordance with applicable securities laws (including, where applicable, requirements that investors be “accredited investors” and/or “qualified purchasers”).
- References to third-party investment platforms (such as a rolling fund or syndicate) are for convenience only; any investment through those platforms is subject to their own terms, eligibility criteria, and disclosures, and is not made by, or the responsibility of, this Site.
- Nothing on the Site is, or should be relied upon as, investment, legal, tax, accounting, or other professional advice, or a recommendation to buy, sell, or hold any investment. You should consult your own advisors.
3. No performance representation; portfolio information
Any companies, transactions, or results described on the Site are provided for illustrative and informational purposes only, may not be representative of all investments, and are not a complete list of investments. Past performance is not indicative of, and does not guarantee, future results. The inclusion of any company does not constitute an endorsement or a recommendation, and does not imply any particular outcome. Investing involves risk, including the possible loss of principal.
4. Forward-looking statements
The Site may contain forward-looking statements that reflect current expectations and are subject to risks and uncertainties. Actual results may differ materially. We undertake no obligation to update any forward-looking statement.
5. Unsolicited submissions and pitches
We welcome submissions, but please read this section carefully. By submitting a pitch, deck, business plan, idea, or any other information or materials to us through the Site or otherwise (“Submissions”), you acknowledge and agree that:
- Your Submission is made voluntarily and on a non-confidential basis. No confidential, fiduciary, agency, or other special relationship is created between you and Mentors Fund by your Submission, and none is implied. Do not send us information you consider confidential, proprietary, or a trade secret.
- We are under no obligation to review, respond to, evaluate, keep confidential, return, or invest in any Submission.
- We review many opportunities and may currently be, or may in the future be, evaluating, developing, or investing in ideas or companies that are similar to or competitive with your Submission. Nothing in these Terms limits our ability to do so, and we will have no liability to you as a result.
- You represent and warrant that you have the right to provide the Submission and that it does not violate the rights of any third party or any law.
- You grant Mentors Fund a non-exclusive, worldwide, royalty-free license to review and use the Submission for the purpose of evaluating a potential relationship, subject to our Privacy Policy and any separate written agreement we may enter into with you.
6. Intellectual property
The Site and its content — including text, graphics, logos, the Mentors Fund name and marks, design, and software — are owned by or licensed to Mentors Fund and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful, personal or internal business purposes. You may not copy, reproduce, modify, distribute, scrape, frame, or create derivative works from the Site without our prior written consent. Third-party names, logos, and trademarks (including those of portfolio companies) are the property of their respective owners and are used for identification purposes only; their display does not imply any endorsement.
7. Acceptable use
You agree not to:
- Use the Site in violation of any law or regulation, or for any fraudulent or harmful purpose;
- Interfere with or disrupt the Site, its security, or its underlying infrastructure;
- Attempt to gain unauthorized access to any system or data;
- Use automated means (bots, scrapers, crawlers) to access, harvest, or copy content except as expressly permitted;
- Misrepresent your identity or affiliation, or submit false information; or
- Upload or transmit any malware or malicious code.
8. Third-party content and links
The Site may contain content, logos, and links from or to third parties. We do not control and are not responsible for third-party content, websites, products, or services, and we do not endorse them. Your use of third-party services is at your own risk and subject to their terms.
9. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY INFORMATION IS ACCURATE, COMPLETE, OR CURRENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTORS FUND AND ITS AFFILIATES, PARTNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mentors Fund and its affiliates and their respective partners, members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your Submissions, or your violation of these Terms or applicable law.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you agree that the state and federal courts located in San Mateo County, California, will have exclusive jurisdiction and venue over any dispute not subject to arbitration, and you consent to personal jurisdiction there.
Binding arbitration; class-action waiver
To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Site will be resolved by final and binding arbitration administered by a recognized arbitration provider under its applicable rules, on an individual basis. You and Mentors Fund waive any right to a jury trial and to participate in a class, collective, or representative action. Either party may seek injunctive relief in court to protect intellectual-property or confidential information. This provision does not waive any right that cannot lawfully be waived.
14. Changes to the Site and these Terms
We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time; the “Last updated” date reflects the latest version. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
15. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Mentors Fund regarding the Site. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
